Acceptance of terms
These Terms of Service ("Terms") govern your access to and use of the website operated by Powerhouse Funding ("Powerhouse Funding", "we", "us") at powerhousefunding.com (the "Site"), and any services we offer through it. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
Eligibility
You must be at least 18 years old, located in the United States, and authorized to conduct business on behalf of the business you are inquiring about in order to use the Site or submit an application through it. You represent and warrant that all information you submit is true, accurate, complete, and submitted with proper authorization.
Description of services
Powerhouse Funding is a direct small business lender. We underwrite, approve, and fund commercial financing — term loans, lines of credit, and working capital — from our own balance sheet. We are not an investment advisor and not a law or tax firm.
All financing products referenced on the Site are for business and commercial purposes only. We do not originate consumer credit of any kind.
Powerhouse Funding is not a bank, savings association, credit union, or depository institution. We do not accept deposits, and our financing products are not FDIC-insured.
Account registration and security
Some features of the Site may require you to provide information or create an account. You are responsible for maintaining the confidentiality of any credentials issued to you and for all activity that occurs under your account or session. Notify us promptly if you believe your credentials have been compromised or used without authorization.
Application process
Submitting an application or inquiry to Powerhouse Funding does not create a binding loan commitment and does not guarantee that any offer will be made. All offers are subject to Powerhouse Funding's underwriting and credit approval. Amounts, rates, fees, and terms vary based on the product, your time in business, monthly revenue, industry, credit profile, collateral, and other underwriting factors.
You agree that any information you submit is true, accurate, and complete to the best of your knowledge, and that you are authorized to submit it. We may verify the information you provide, request supporting documentation, and decline to extend financing to any business at our discretion.
User conduct
You agree not to use the Site to violate any law or regulation, infringe any intellectual property right, transmit any malicious code, attempt to interfere with the operation or security of the Site, scrape or harvest content, impersonate any person or entity, or submit information that is false, misleading, or fraudulent.
Intellectual property
The Site, including its text, graphics, logos, images, and underlying code, is owned by Powerhouse Funding or its licensors and is protected by intellectual property laws. You may view and print pages of the Site for your own non-commercial use. You may not otherwise copy, modify, distribute, or create derivative works from the Site without our prior written consent.
Disclaimers
The Site is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Site will be uninterrupted, secure, error free, or that any information on the Site is current, accurate, or complete. Nothing on the Site constitutes financial, legal, tax, or accounting advice.
Limitation of liability
To the fullest extent permitted by law, in no event will Powerhouse Funding, its affiliates, or its officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, or data, arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages. Our aggregate liability for any claim arising out of or related to the Site will not exceed one hundred United States dollars (US$100).
Indemnification
You agree to indemnify, defend, and hold harmless Powerhouse Funding and its affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys fees) arising out of or related to your use of the Site, your violation of these Terms, your violation of any law or right of any third party, or your breach of any representation or warranty you made to us.
Governing law
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict of laws principles. Any dispute that is not subject to arbitration shall be brought exclusively in the state or federal courts located in Jefferson County, Kentucky, and you consent to the personal jurisdiction of those courts.
Dispute resolution and arbitration
READ CAREFULLY. Except for the carve-outs below, you and Powerhouse Funding agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site will be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in Jefferson County, Kentucky, unless the parties agree to a different venue. The arbitrator's decision may be entered as a judgment in any court of competent jurisdiction.
Class action waiver. You and Powerhouse Funding each waive the right to bring or participate in any class action, collective action, mass action, private attorney general action, or other representative proceeding, whether in arbitration or in court. Disputes must be brought in an individual capacity only. The arbitrator may not consolidate the claims of more than one person, and may not preside over any form of representative or class proceeding.
Carve-outs. Either party may bring an individual action in a court of competent jurisdiction in small-claims court for matters within that court's jurisdiction; or to seek temporary or preliminary injunctive relief, including to protect intellectual property, trade secrets, or confidential information. Filing an action in small-claims court or seeking injunctive relief does not constitute a waiver of arbitration for any other claim.
Opt-out. You may opt out of this arbitration agreement by sending written notice of your intent to opt out to hello@powerhousefunding.com within thirty (30) days after your first use of the Site. Your notice must include your full name, postal address, and a clear statement that you wish to opt out of the arbitration agreement.
SMS messaging program
If you provide a mobile number and consent to SMS communications, you agree to receive text messages from Powerhouse Funding regarding your application, account, and related services. Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time; reply HELP for help. Mobile opt-in data and consent are not shared with any third parties for marketing or promotional purposes. See our disclosures and privacy policy for full details.
Changes to terms
We may update these Terms from time to time. The version posted on the Site is the current version, and the effective date is shown at the top of this page. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
